Colony Counter does not provide medical, clinical, regulatory, laboratory-accreditation, or other professional advice. Unless Reshape expressly confirms otherwise in writing, the service has not been validated or certified for regulated workflows or use as a medical device.

4. User responsibilities

- Provide only images and information that you are authorized to upload and process.
- Maintain the confidentiality of your account credentials and promptly report suspected unauthorized access.
- Assess whether the service is appropriate for your intended organism, medium, imaging setup, and workflow.
- Independently verify analysis results and maintain any validation records required by your organization or applicable law.
- Use the service lawfully and avoid attempts to disrupt, reverse engineer, or gain unauthorized access to it.

5. Your content

You retain ownership of the images, notes, barcodes, and other content you upload. You grant Reshape a limited, non-exclusive right to process, store, transmit, and display that content only as necessary to operate, secure, support, and synchronize the service.

Uploaded images and analysis results will not be used to train or improve AI models unless you separately and explicitly agree to that use.

6. Accounts

You must provide accurate account information and keep it current. You are responsible for activity performed through your account. Plate records removed from the active plate list remain associated with your account until account deletion. You may request account deletion through the in-app account controls. Deleting the app from a device does not by itself delete the account or server-stored information.

7. Intellectual property

Colony Counter, including its software, models, interface, documentation, trademarks, and other service materials, is owned by or licensed to Reshape. These Terms grant only the limited right to use the service in accordance with these Terms; no ownership rights are transferred.

8. Availability and changes

The service may be modified, interrupted, suspended, or discontinued. We do not guarantee that it will always be available, error-free, or compatible with every device, image, organism, medium, or workflow. Where reasonably practicable, we will communicate material service changes through the app or other appropriate channels.

9. Disclaimer of warranties

To the maximum extent permitted by applicable law, the service is provided "as is" and "as available". Reshape does not warrant that analysis results will be accurate, complete, reproducible, or suitable for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by applicable law, Reshape will not be liable for losses arising from reliance on an unverified analysis result, loss of data, interrupted availability, or use of the service outside its intended purpose.Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Mandatory statutory rights remain unaffected.11. Suspension and terminationYou may stop using the service and delete your account at any time. We may suspend or terminate access when reasonably necessary to protect the service, other users, or Reshape, comply with law, or address a material violation of these Terms.

12. Changes to these Terms

We may update these Terms. If a change materially affects your rights or obligations, we will provide appropriate notice and, where required, ask you to accept the updated Terms before continued use.

13. Governing law

These Terms are governed by the laws of Denmark, without limiting any mandatory rights or protections available under applicable law. The appropriate courts will have jurisdiction, subject to mandatory consumer jurisdiction rules.
